Terms of Service

These terms govern access to and use of Fidkeep’s website and Google review-management service.

Fidkeep is intended for business use. By creating an account or using the service, you agree to these Terms of Service and confirm that you have authority to act for the business locations you connect.

1. Agreement and eligibility

These Terms of Service (“Terms”) are an agreement between you and Fidkeep (“Fidkeep,” “we,” “us,” or “our”). They govern your access to fidkeep.com, the authenticated Fidkeep application, and related review-management, reporting, automation, and communication services (collectively, the “Service”).

You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering an agreement. If you use the Service for a company, agency, or other organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.

2. The Service

Fidkeep helps authorized users connect Google Business Profile accounts, select business locations, synchronize reviews, prepare and edit AI-assisted reply drafts, publish or update replies, coordinate location-level team access, and view review and performance reports. Features may vary by plan, role, location, provider availability, and product stage.

We may improve, change, add, or remove Service functions. We will use reasonable efforts to avoid materially reducing paid functionality during an active service period without notice, but we do not guarantee that every feature, integration, model, or provider will remain available.

3. Accounts, roles, and security

You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials, devices, recovery methods, and sessions, and for activity performed through your account unless caused by Fidkeep’s breach of these Terms.

Workspace managers control invitations, roles, selected locations, and access within the limits made available by the Service. You must assign only the access a person needs and promptly revoke access that is no longer authorized. Do not share personal account credentials. Notify [email protected] promptly if you suspect unauthorized use.

4. Google account authorization

You may connect a Google account and grant Fidkeep the https://www.googleapis.com/auth/business.manage scope. You represent that you are authorized to access and manage each connected Google Business Profile account and location and to retrieve reviews and publish replies on its behalf.

You direct Fidkeep to use the granted access to list accounts and locations, retrieve reviews and reply states, and publish or update replies that you approve or that result from automation you enable. You are responsible for complying with Google’s applicable terms, policies, and content rules. You can revoke access from your Google Account, but revocation may prevent synchronization and publishing.

Fidkeep is an independent service. It is not affiliated with, endorsed by, or sponsored by Google LLC. Google, Google Business Profile, and related marks are trademarks of Google LLC.

5. AI-assisted features and automation

Fidkeep uses third-party AI services to generate reply drafts, location configuration suggestions, and report narratives from information such as business context, reviews, ratings, language, brand preferences, and reply examples. AI output is probabilistic and may be incomplete, inaccurate, repetitive, biased, or unsuitable for publication.

You are responsible for reviewing AI output and ensuring that published replies are accurate, lawful, appropriate, and consistent with your obligations. If you enable automatic replies, you instruct Fidkeep to publish without individual review and accept responsibility for that setting and its resulting publications. Fidkeep does not provide legal, professional, or reputation-management advice.

6. Your content and instructions

You retain ownership of content and business information you submit to Fidkeep, including brand instructions, reply examples, draft edits, feedback, and recipient details (“Your Content”). To operate the Service, you grant Fidkeep a worldwide, non-exclusive, limited license to host, copy, process, transmit, format, and display Your Content solely as needed to provide, secure, maintain, and improve the Service and comply with law.

You represent that you have the rights and permissions needed for Your Content and your instructions, including authority to process reviewer, employee, invitee, and recipient information in the workspace. You must not submit confidential or sensitive information that is unnecessary for managing reviews or generating a reply.

7. Acceptable use

You must not use the Service to:

  • violate law, Google policies, third-party rights, privacy, intellectual property, or contractual obligations;
  • publish deceptive, discriminatory, harassing, threatening, defamatory, illegal, or fraudulent content;
  • access a Google account, business location, review, workspace, or team resource without authorization;
  • bypass roles, plan limits, quotas, security controls, rate limits, or provider restrictions;
  • probe, scan, disrupt, overload, reverse engineer, or introduce malicious code into the Service, except to the extent a restriction is prohibited by law;
  • scrape or harvest data from the Service, resell access, or use Service output to build or train a competing model or product without written permission; or
  • misrepresent AI-generated content, manipulate reviews, or falsely represent a relationship with a customer or platform.

8. Plans, usage limits, and availability

Plans may limit active locations, team seats, daily AI generations, publication capacity, reports, or other capabilities. Usage is measured according to Service records. You may need to reduce selected locations or team access, wait for a limit to reset, or move to another plan to continue using a limited feature.

Any fees, billing period, taxes, renewal, cancellation, or refund terms presented in an order, plan page, or separate commercial agreement become part of these Terms for that purchase. If a separate signed agreement conflicts with these Terms, the signed agreement controls for the subject of the conflict.

9. Third-party services

The Service depends on third-party products, including Google, OpenRouter, model providers, Linear, Resend, and hosting or infrastructure providers. Their services and data practices are governed by their own terms. Provider downtime, API changes, moderation, revoked permissions, model changes, rate limits, or other third-party actions may affect Fidkeep.

Fidkeep is not responsible for a third party’s service, content, or decision, but we remain responsible for our own obligations under applicable law and our Privacy Policy.

10. Fidkeep intellectual property

The Service, software, visual design, workflows, documentation, and Fidkeep branding are owned by Fidkeep or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.

If you provide ideas or feedback, you grant Fidkeep a perpetual, worldwide, royalty-free right to use that feedback without restriction or attribution, provided we do not publicly identify you as its source without permission.

11. Suspension, termination, and data export

You may stop using the Service at any time and may request account deletion through [email protected]. We may suspend or restrict access when reasonably necessary to prevent harm, secure the Service, respond to a provider or legal requirement, address non-payment, investigate suspected misuse, or enforce these Terms.

We may terminate access for a material breach that is not cured within a reasonable period after notice, where cure is possible, or immediately for unlawful activity, serious security risk, or repeated abuse. After termination, rights to use the Service end. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—will survive.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Fidkeep disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee review availability, Google publication or visibility, moderation outcomes, search ranking, customer sentiment, business performance, report conclusions, or the accuracy or suitability of AI output. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunities, or data, arising from the Service, even if advised that such loss was possible.

To the maximum extent permitted by law, Fidkeep’s total aggregate liability arising from or relating to the Service and these Terms will not exceed the amount you paid to Fidkeep for the Service during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot be limited under applicable law. Mandatory consumer rights, if applicable despite the business purpose of the Service, remain unaffected.

14. Governing law and courts

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules. Subject to any mandatory jurisdiction required by law, the courts and enforcement offices of Istanbul, Türkiye, have exclusive jurisdiction over disputes arising from these Terms or the Service.

Before starting formal proceedings, each party will make a reasonable effort to resolve the dispute by written notice and good-faith discussion.

15. Changes and contact

We may update these Terms to reflect Service, provider, or legal changes. We will post the revised Terms and update the effective date. If a change materially affects existing users, we will provide additional notice when reasonably possible or required by law. Continued use after revised Terms take effect constitutes acceptance; if you do not agree, you must stop using the Service.

If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without Fidkeep’s written consent; Fidkeep may assign them in connection with a reorganization, financing, merger, or sale of the relevant business.
