Buyer (Customer)

The Buyer is the business that places the order and whose trade or personal name, tax ID, address and e-mail address appear on the order screen or in the account's billing details. The person placing the order on the Buyer's behalf represents that they are authorised to represent and bind the Buyer to this Agreement.

The subject of this Agreement is the electronic provision by the Seller of the Fidkeep subscription plan and any add-ons ordered online by the Buyer, and the price, payment, performance, cancellation and refund terms that apply in return.

• Service: web-based software that brings Google Business Profile reviews into one workspace and provides AI-assisted reply drafts, review topics and sentiment analysis, smart rules, reply publishing, team and location permissions and reporting.
• Plan and scope: the plan (Basic, Pro, Business, Scale or quote-only Enterprise) and add-ons selected by the Buyer on the order screen. The features and limits of each plan are shown on the Pricing page and the order screen.
• Billing period: monthly or yearly, as selected by the Buyer. The subscription renews automatically for the same period until cancelled.
• Nature: the Service is provided entirely online; there is no physical product or shipment.

• The price is the plan and add-on price shown on the order screen at the time of the order. Prices are in Turkish lira (TRY) and exclude VAT. VAT is added at the applicable rate and shown separately on the order screen and the invoice.
• Payment is made by credit or debit card through İyzi Ödeme ve Elektronik Para Hizmetleri A.Ş. ("iyzico"), licensed by the Central Bank of the Republic of Türkiye. Card details are entered directly into iyzico's secure payment form; the Seller never sees or stores the full card number or security code.
• The Buyer authorises renewal fees, add-on fees and upgrade differences to be charged to the saved card through iyzico.
• Invoices are issued and delivered electronically as e-Fatura or e-Arşiv Fatura based on the Buyer's billing details.

• Access to the Service is activated in the Buyer's account immediately after the order and payment are confirmed. For free trials, access opens when the trial starts.
• The Service is accessed by signing in at https://auth.fidkeep.com. Details are on the Delivery and Returns page.
• If access cannot be activated for a reason attributable to the Seller despite payment, the full amount charged is refunded.

The Service is sold only to businesses acting for commercial or professional purposes; it is not sold to consumers. Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation therefore do not apply to this sale and there is no right of withdrawal. The Buyer represents that it acquires the Service for its commercial or professional activity. The relationship between the parties is governed by Turkish Code of Obligations No. 6098, Turkish Commercial Code No. 6102 and Law No. 6563 on the Regulation of Electronic Commerce.

• The Buyer may cancel at any time from the billing settings in the application or by writing to [email protected] from the account e-mail address. Cancellation takes effect at the end of the current billing period and no fee is charged for the next period.
• No pro rata refund is given for the unused part of a period. Duplicate or erroneous charges and termination for reasons attributable to the Seller are refunded.
• Refunds are made through iyzico to the card used for payment.

• The Seller provides the Service within the ordered plan in accordance with the Terms of Service and the Subscription and Payment Terms.
• The Buyer is responsible for keeping order and billing details accurate and current, paying on time and using the Service lawfully and in line with the Acceptable Use Policy.
• Personal data is processed under the Privacy Policy, the KVKK Privacy Notice and the Data Processing Agreement.

• The Agreement is formed when the Buyer accepts this Agreement and the linked documents electronically on the order screen and iyzico confirms the payment.
• The Seller confirms receipt of the order by an electronic notice sent to the Buyer's account e-mail address.
• The Seller keeps the version of the Agreement accepted at the time of the order and the order records, and sends a copy on request via [email protected].
• If this Agreement conflicts with the Subscription and Payment Terms, the Subscription and Payment Terms prevail.

This Agreement is governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Gaziantep have exclusive jurisdiction over disputes. The Turkish text of this Agreement is binding; the English translation is for information only.
